Partner Program Terms
Version 2.0 · Effective May 4, 2026
These Partner Program Terms (“Partner Terms”) supplement the BoomSauce Terms of Service (“Terms”) and incorporate the Refund Policy by reference. In the event of a conflict between these Partner Terms and the Terms on any subject expressly addressed in these Partner Terms, these Partner Terms control. On all other subjects, the Terms govern. Capitalized terms used but not defined here have the meanings given in the Terms. By enrolling in the Partner Program (clicking “Accept” on /partner), you agree to be bound by these Partner Terms.
1. Eligibility and enrollment
Any active BoomSauce account in good standing may enroll. Enrollment is completed by clicking “Accept” on /partner inside the dashboard. We record each acceptance with timestamp, user, IP address, and user agent for audit purposes. Suspended accounts cannot enroll, and enrollment may be revoked at any time at our discretion for a violation of these Partner Terms or the underlying Terms of Service.
2. Commission structure
Standard rate (Tier 1): 15% of your referrals' consumed-service revenue. Lifetime attribution — no expiry, no 12-month cutoff.
Channel partner override (Tier 2): 10% on the same revenue base, paid to a designated parent partner when one of your referrals brings in another partner. Tier 2 is invite-only and is set by us at the time the channel relationship is established. There is no self-service path to Tier 2 — it's a strategic relationship, not a multi-level marketing structure.
Commissionable revenue means revenue we recognize from services we render: SMTP sends, mailbox hosting, warmup, validation, and (when launched) AI Writer. Domain registrations are excluded because they are a pass-through to the registrar and do not represent margin we control. Promotional and bonus credits are also excluded because no revenue is recognized when they are consumed.
3. Attribution
Each enrolled partner receives a unique invite code. When a new account signs up using that code, the account is permanently attributed to you as the referring partner. Attribution is set once at signup and cannot be changed. There is no “last touch” or “first touch” battle — whoever's code was used at signup wins.
4. $25 lifetime spend floor
A referred account must reach $25 in lifetime consumed-service revenue (excluding domain registrations) before commissions begin to accrue. This floor protects the program from signup-farming abuse. Once the floor is cleared, all subsequent consumed-service revenue is commissionable.
5. 60-day clearance window
Earnings accrue with status “pending” for 60 days from the date of accrual. After 60 days, pending earnings transition to “cleared” and are eligible for the next monthly payout. The clearance window provides time for refunds and chargebacks on the underlying customer revenue to resolve before money leaves our balance.
6. Clawback policy
If a customer refunds revenue that contributed to your accrued or paid commission, we reverse a proportional amount of that commission. The mechanics:
- Refund within the 60-day clearance window: pending earnings flip to “clawed back” on a pro-rata basis. No money has been paid out yet, so this is a pure ledger reversal.
- Refund after clearance but with available unpaid earnings: the clawback is netted against your next payout.
- Refund after a payout has cleared: a negative offsetting earning is recorded and applied against future earnings until the balance is restored. If your account remains net-negative for 12+ months with no offsetting activity, the negative balance may, at our sole discretion, be written off as uncollectible. Write-off is an internal accounting treatment only; it does not constitute forgiveness of the debt or a waiver of our right to recover the amount if circumstances change.
- Chargebacks (Stripe disputes) trigger clawback for the disputed amount regardless of timing.
- Tier 2 channel-partner overrides are clawed back on the same schedule and at the same proportion as the underlying Tier 1 earning.
7. Payment
Payouts are processed monthly via Stripe Connect Express. Stripe collects required tax forms (W-9 for U.S. partners, W-8 for non-U.S. partners) during onboarding and files 1099-NEC forms automatically for U.S. partners earning ≥$600 in a calendar year.
Minimum payout: $50. Earnings below this threshold roll forward to the next month until the threshold is cleared. Stripe Connect transfer fees are recovered from your earnings on each payout.
We do not pay partners outside of Stripe Connect. If you are unable or unwilling to complete Stripe Connect onboarding, your earnings will accrue but will not pay out.
8. Self-referral prohibition
You may not earn commission on your own paid account. We auto-detect self-referrals by matching the referred account's billing email against users on the partner's tenant and exclude them from accrual. Attempts to circumvent this — including through alt accounts, friends/family, or shell entities — are grounds for immediate termination from the Partner Program with forfeiture of accrued earnings.
9. Brand usage
Nimbus.io, LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable, royalty-free license to use the “BoomSauce” name and associated marks (whether registered or not) solely to promote your participation in the Partner Program (e.g., “Earn 15% with the BoomSauce Partner Program”). The license terminates automatically when your enrollment ends. You may not:
- Imply endorsement or affiliation beyond Partner Program participation
- Modify the BoomSauce logo
- Bid on the “BoomSauce” trademark in paid search
- Register domains containing “boomsauce” or confusingly similar variants
10. Code of conduct
You agree to comply with applicable law and the following standards when promoting the Partner Program:
- FTC §255 disclosure (U.S. partners): clearly disclose the affiliate relationship in any promotional content where you have a material connection to the audience.
- No spam: do not promote your referral link via unsolicited cold email, SMS, or social DMs. Yes, this is ironic given what BoomSauce does — that's exactly why we don't want our partner program associated with bad outbound practices.
- No incentivized signups: do not offer cashback, coupons, or other inducements to people who sign up via your link without admin pre-approval.
- No misrepresentation: do not claim BoomSauce features, performance, or pricing that are not accurately represented on our public site.
11. Chargeback consequences
A chargeback filed by one of your referred accounts triggers automatic suspension of the affected referred account and clawback of any commissions earned on the disputed revenue. Your enrollment in the Partner Program is not affected by a single referred-account chargeback unless we identify a pattern indicating partner-side fraud or knowing recruitment of high-chargeback users.
12. Termination
By you: you may terminate your enrollment at any time by contacting support. Cleared earnings on the date of termination are paid out at the next scheduled payout cycle, subject to the $50 minimum.
By us: we may terminate your enrollment for material breach of these Partner Terms (including self-referral, brand misuse, or pattern fraud) immediately and without notice. We may terminate without cause on 30 days' written notice. On for-cause termination, accrued but uncleared earnings are forfeit.
On no-cause termination: (a) no pending earnings are forfeited; (b) earnings that have cleared as of the termination notice date pay out at the next scheduled payout cycle; (c) earnings still in the 60-day clearance window as of the termination date continue through the normal clearance process and pay out after clearing, subject to any clawbacks that arise during that window; and (d) commissions on revenue earned by referred accounts after the termination effective date will not accrue.
Termination of your underlying BoomSauce account terminates Partner Program enrollment automatically.
13. Disputes
Any dispute arising from these Partner Terms is governed first by informal good-faith resolution through the support channel. If informal resolution fails after 30 days, the dispute proceeds to binding arbitration administered by JAMS in Broward County, Florida under the JAMS Streamlined Arbitration Rules (for claims under $250,000) or the JAMS Comprehensive Arbitration Rules (for claims at or above $250,000), with each party bearing its own fees and costs. Class actions and class arbitration are waived to the extent permitted by law.
14. Versioning and material changes
This is version 2.0 of the Partner Program Terms, effective May 4, 2026, superseding version 1.0 (April 24, 2026). The version you accepted at enrollment is the version that governs your participation. We may publish a new version with 30 days' advance notice via in-app notification and email. Continued participation after the effective date of a new version constitutes acceptance of the new version. We will not retroactively reduce earnings already accrued under a prior version.

These files are the single source of truth for what counts, what doesn't, and how the math runs.
